Sales Conditions

GENERAL TERMS

All TESEO srl supplies and services are subject to the customer's acceptance of the following general terms and conditions of sale and delivery. Unless agreed otherwise, no exceptions are permitted. The product's technical features indicated in our sales and information material are for reference purpose only. TESEO srl, at its sole discretion, reserves the right to make any changes it considers necessary to improve product quality.

OFFERS, PRICES AND PRICE LISTS

Unless otherwise established in writing, prices indicated in our offers and price lists refer to the supply of components or materials, and excludes assembling, start-up, testing and maintenance costs. Unless otherwise agreed, our offers are valid for a maximum of 30 days. Prices are shown in euros, VAT excluded. These prices are ex-works and include standard packing for truck delivery. Special packaging is not included in the above prices and must be specifically requested. TESEO srl reserves the right to change prices at 30 days notice.

ORDERS

TESEO srl undertakes to observe all the conditions specified in a written confirmed acceptance. All orders submitted to TESEO srl sales staff, will only be considered as accepted after validation by TESEO srl management.

DELIVERY

TESEO srl undertakes to observe the agreed delivery deadlines. Any delays deriving from force majeure or other reasons can neither justify cancellation of the order or a damage claim. TESEO srl does not accept penalties or sanctions for delays with respect to the agreed delivery terms. Unless otherwise specified by the customer, TESEO srl reserves the right to make partial order shipments.

PAYMENT

Invoices issued by TESEO srl must be paid according to terms and conditions established and accepted in the order. In case of any unjustified delay in payment, TESEO srl reserves the right to charge interest on the overdue sum as per Law Decree 231/2002 Art. 5 para 2.

MINIMUM INVOICE AMOUNT

The minimum net amount per single order is 150.00 euros (one hundred and fifty euros). Lower amounts must be authorised by TESEO srl Sales Management.

TITLE TO GOODS

TESEO srl retains title to delivered goods until payment has been made in full.

SHIPMENT

All goods are delivered ex-works. Unless otherwise agreed in writing, all goods are shipped at the customer's risk and liability. Return of products or components supplied by Teseo srl must have prior written approval.

COMPLAINTS

Any complaints concerning the delivery of TESEO products must be made in writing within 8 days of receipt of the goods. The transport document number of the disputed goods must be clearly indicated and a description of the damage recorded on the CMR.

WARRANTY

All our products have a 24 month warranty covering material or manufacturing defects. This warranty is Limited to the ex-works replacement of parts excepted as faulty, provided they were installed according to the accompanying instructions. Replacement under warranty will only be carried out on condition that the product, or part of it, is returned to TESEO srl free of transport charges or packing costs. TESEO srl will despatch the repaired or replaced parts to the customer free of charge and ex-works. This warranty does not cover damage caused by normal wear and tear, installation faults, misuse and improper repair carried out by the customer or third parties.

PLACE OF JURISDICTION

All disputes shall be submitted to the Court of Brescia (Italy)
